The company hereby agrees to pay any and all expenses reasonably incurred by indemnitee in defending any claim or claims , as the same are incurred and in advance of the final disposition of any such claim or claims , upon receipt of an undertaking by or on behalf of indemnitee to reimburse such amounts if it shall be ultimately determined that indemnitee is not entitled to be indemnified 公司同意，在收到受偿人或其代表所作出的如果最终判定受偿人无权得到赔偿则如数退还该款项（指后面的公司支付的费用）的承诺时，公司即支付受偿人对任何索赔进行辩护所产生的任何和所有合理费用。
